License For Customer Use of GIVE2LIFE Software
IMPORTANT NOTICE -- READ CAREFULLY: This License is for User use of GIVE2LIFE Software ("LICENSE") is
the agreement which governs use of the software of GIVE2LIFE Corporation and its suppliers downloadable herefrom,
including computer software and associated printed materials ("SOFTWARE"). By downloading, installing,
copying, or otherwise using the SOFTWARE, you agree to be bound by the terms of this LICENSE. If you do not agree
to the terms of this LICENSE, do not download the SOFTWARE.
RECITALS
Use of GIVE2LIFE's products requires three elements: the SOFTWARE, Microsoft Windows operative system and a personal
computer. The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual
property laws and treaties. The SOFTWARE is not sold, and instead is only licensed for use, strictly in accordance
with this document. The operative system is protected by various patents, and is sold, but this agreement does
not cover that sale, since it may not necessarily be sold as a package with the SOFTWARE. This agreement sets forth
the terms and conditions of the SOFTWARE LICENSE only.
1. DEFINITIONS
1.1 User. User means the entity or individual that downloads and or uses the SOFTWARE.
1.2 SOFTWARE, interface, program, project, is any component of Give2Life product, network.
1.3 He/his we mean anybody who uses the program whether the person is a man or woman or any automated entity.
1.4 "We" is Give2Life administratives, programmers or any party hired to be envolved with the project.
1.5 "Materials" are all parts of the software, data files and documentation included with the "SOFTWARE"
package.
1.6 "Organization" a charity or entity whose purpose is the aid of humanitarian causes, animal rights,
environment protection, etc.
2. GRANT OF LICENSE
2.1 Rights and Limitations of Grant. Give 2 Life hereby grants User the following non-exclusive, non-transferable
right to use the SOFTWARE, with the following limitations:
2.1.1 Limitations.
No Reverse Engineering. Users may not reverse engineer, decompile, or disassemble the SOFTWARE, nor attempt in
any other manner to obtain the source code.
No Separation of Components. The SOFTWARE is licensed as a single product. Its component parts may not be separated
for use on other projects or other software applications, nor otherwise used separately from the other parts.
No Rental. User may not rent, lease or sell the SOFTWARE to someone else. Nor rent, lease or sell rights for the
use of it on his or other party computer.
3. LIABILITIES
3.1 Program email interface. We are not responsible for misuse of the program by a user.
3.2 User is responsible for any email sent by him or anybody with access to his computer and from the program interface.
User shall use his true email address and name for contacting an organization.
3.3 User acknowledges all transactions are final once payment is submited.
3.3.1 No changes to the user options set on the interface will be accepted nor done after a session is completed.
3.3.2 No refunds are granted.
4. TERMINATION
For Users:
This LICENSE will automatically terminate if User fails to comply with any of the terms and conditions hereof.
In such event, User must destroy all copies of the SOFTWARE in his posession and all of its component parts.
We may at our discretion instruct the interface to stop functioning on certain user(s) computers if we are aware
of certaing user infringes any law(s) or acts against GIVE2LIFE company policies or we suspect of any illegitimate
activity being done trough the interface. We are not liable for any events whether this service interruption is
successful or not. Additionally we reserve our right to allow people the use of the program and or be a part of
the project in any way at our discretion.
For Organizations:
GIVE2LIFE will terminate service through the SOFTWARE if either of the following cases apply.
1.1 We receive report(s) of unlawful activities.
1.2 We receive complains of funding misuse.
1.3 We suspect the organization rights to receive public donations is not certified by government. Government for
this rule is the elected government entity of the country where that organization operates or has it headquarters.
1.4 The organization refuses to submit a physical address.
1.5 The organization elects not to receive service.
1.6 Any other cause not stated here at our discretion.
5. COPYRIGHT
All title and copyrights in and to the SOFTWARE (including but not limited to all images, photographs, animations,
video, audio, music, text, and other information incorporated into the SOFTWARE), the accompanying printed materials,
and any copies of the SOFTWARE, are owned by Give2Life, or its suppliers. The SOFTWARE is protected by copyright
laws and international treaty provisions. Accordingly, Customer is required to treat the SOFTWARE like any other
copyrighted material, except as otherwise allowed pursuant to this LICENSE.
6. APPLICABLE LAW
This agreement shall be deemed to have been made in, and shall be construed pursuant to, the laws of the State
of California.
7. DISCLAIMER OF WARRANTIES AND LIMITATION ON LIABILITY
7.1 No Warranties. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS"
AND GIVE2LIFE AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED
TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
7.2 No Liability for Consequential Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL
GIVE2LIFE OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER
(INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION,
OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF GIVE2LIFE HAS
BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. MISCELLANEOUS
The United Nations Convention on Contracts for the International Sale of Goods is specifically disclaimed. If any
provision of this LICENSE is inconsistent with, or cannot be fully enforced under, the law, such provision will
be construed as limited to the extent necessary to be consistent with and fully enforceable under the law. This
agreement is the final, complete and exclusive agreement between the parties relating to the subject matter hereof,
and supersedes all prior or contemporaneous understandings and agreements relating to such subject matter, whether
oral or written. User agrees that "he" will not use the SOFTWARE in any manner, prohibited by the United
States law and or "his" place of recidence law, restrictions or regulations. This LICENSE may only be
modified in writing signed by an authorized officer of GIVE2LIFE.
8.1 Donors Ranking
By signing up to particiapate in the Donors Ranking you understand and agree that your first and last names in
addition to your city and country will be published on the Donors Ranking section on Give2Life web site.
Participation on the Donors Ranking is optional and can be enabled or dissabled at any time by the user. Changes to previous options will not be in effect until a donation with settings that override the previous ones is received. You understand that access to the Give2Life Donors Ranking section on Give2Life web site is of public access without restrictions whether or not the visitor is a Give2Life user. In addition you understand that your name will appear in a position relative to the higher donor. The list may be updated frequently and your position on the list may vary. We will not notiy users of ranking changes.
If you change any field on the contact info and you want to be related to older records you may be asked to
supply information stored on your Give2Life history file.
We will use then that information as a medium to verify your identity. If your identity can not be successfuly
verified we may opt to remove or leave the older entry from the Donors Ranking list and your status will start
from zero.
You acknowledge and agrees to the mentioned above by check marking the "I want to participate on the Donors
Ranking" option on the Personal Information screen.
